Bamaena First Foundation (BFF) is a not-for-profit community foundation dedicated to improving lives across the Bamaena, Banashimolo, Bashiende, and Bukyiende communities in Bunashimolo County, Sironko; Bukhalu County, Bulambuli; Buturi County, Manafwa; and Bukyiende, Bukhulo, and Busoba Counties in Mbale, Uganda.

Through community-driven projects, initiatives, and outreach programs, we strive to deliver lasting, inclusive, and impactful solutions tailored to the unique needs of each community. Founded with a simple vision, BFF has grown over the past year into a powerful force for positive change, championing diverse efforts to uplift and empower the regions we serve.

Bamaena First Foundation Community Leaders

Our Story

Bamaena First Foundation is locally governed, not-for-profit, non-govermental Community Foundation Community Foundation advancing inclusive and sustainable development across rural Eastern Uganda, serving communities in Banashimolo, Bashiende, and Bakyiende counties, Rooted in Bunashimolo Parish, Budadiri West County, Sironko District, Eastern, Uganda on the western slopes of Mount Elgon.

Inspired by the global community foundation model, we transform charitable contributions into long-term, community-owned investments - guided by local leadership, informed by deep community trust, and aligned with national priorities and the United Nations Sustainable Development Goals (SDGs).

Our name draws strength from the Bamaena-Bamuliro clan of the Bamasaaba community, honoring traditions of unity, resilience, and stewardship. While our heritage grounds us, our arms are open wide - serving people of all backgrounds, beliefs, and clans.

Fire represents the unity and shared energy that fuels collective action. The Inyenda Cow symbolizes resilience, adaptability, and the deep connection to the land that sustains us.

Our History

From Community Action to Enduring Institution (1994-2024)

The story of Bamaena First Foundation began in 1994, when community members in Banashimolo County came together to respond to shared challenges and opportunities. For more than three decades, local people supported families, youth, elders, farmers, and vulnerable groups through grassroots initiatives - sustained by community contributions, volunteer leadership, and trust.

As this work grew, a Lawyer from within the community recognized the relevance of the international community foundation model. With professional expertise and personal seed capital, she helped consolidate decades of informal action into a single, professionally governed institution.

In 2024, Bamaena First Foundation was formally registered - not as a new beginning, but as the institutional home of a 30-year community vision designed to serve present and future generations.

Governance & Leadership

Supervisory Board

Responsible and Invested

Our Board holds ultimate responsibility for guiding all BFF activities, spanning philanthropy, investment, audit, and compliance.

Members of the Supervisory Board serve on a voluntary basis and are not remunerated for their contributions.

To strengthen its effectiveness, the Supervisory Board appoints expert strategic advisors who provide specialized support across these areas.

Governance

The Supervisory Board oversees the overall management of BFF and ensures that all activities align with our mission and values.

Its core responsibilities include:

  • Setting strategic direction, approving policies, and establishing key operational guidelines
  • Appointing and overseeing the Board of Directors who manage and represent BFF
  • Reviewing and approving annual statutory and consolidated financial reports

Through transparent, values-driven leadership, our Supervisory Board ensures BFF remains accountable, resilient, and community-focused.

Governance & Oversight

The Supervisory Board is the foundation's highest oversight body.

It ensures that the BFFoundation remains faithful to its mission, maintains its charitable and non-profit character, and upholds the community principles on which it was founded.

The Supervisory Board is responsible for the foundation's long-term strategic direction and compliance with all legal and regulatory frameworks.

Core Responsibilities

The Supervisory Board has the authority to decide on the following matters:

  • Appointment, removal, and dismissal of members of the Board of Directors
  • Approval of the annual budget
  • Appointment of the external auditor and approval of the audited financial statements
  • Discharge of the Board of Directors from liability
  • Approval of legal transactions involving Board members and the foundation or its affiliated entities, except for routine matters

Additionally, prior approval is required for:

  • Acquisition, transfer, or closure of major social service facilities
  • Taking out loans or entering obligations that significantly impact foundation assets
  • Purchase, sale, or mortgaging of real estate
  • Acceptance of conditional gifts or donations
  • Establishing or dissolving subsidiaries or acquiring interests in other legal entities
  • Changes to founding statutes or ownership structures of subsidiaries
  • Legal transactions that may risk the foundation's key assets

The Supervisory Board may also issue general exemptions from these requirements for routine matters.

Supervisory Board Meetings

  • Convened at least 3 times a year by the Chairperson (with two weeks' written notice)
  • Can be called upon request by three members, the Council of Elders, or the Board of Directors
  • Quorum: At least half of members must be present
  • Voting: Secret ballot; resolutions require a majority of present members or total members in case of circular vote
  • Minutes: All meetings are recorded, signed by the Chairperson and the minute-taker, and shared with both boards

Members must recuse themselves from votes in which they have a conflict of interest.

Relationship Between Boards

The Board of Directors and Supervisory Board cooperate in good faith.

The Board of Directors is obligated to:

  • Keep the Supervisory Board informed on all important developments
  • Submit an annual report including the financial statement, budget, and activity summary

Supervisory Board members may attend Board of Directors meetings but may not vote on matters concerning themselves or affiliated organizations.

The Chairperson of the Supervisory Board legally represents the foundation in its dealings with the Board of Directors.

Foundation Oversight and Ethical Governance

The Supervisory Board ensures:

  • Compliance with legal and statutory duties
  • Financial prudence and conservation of foundation assets
  • Continued alignment with Christian values and mission
  • Accountability in all foundation operations and partnerships

The board may review all books, records, and operations, and may engage external auditors or experts to verify compliance and impact.
